— TENNESSEE REALITY

What the state expects of you here.

Formation fees

Tennessee charges $50 per member with a $300 minimum. A two-member LLC runs about $307 in state fees.

Annual report

Your annual report is due the first day of the fourth month after your fiscal year end. Miss it and the state can administratively dissolve the entity.

Franchise and excise

Tennessee entities register for franchise and excise tax with the Department of Revenue. We'll walk you through what registration involves for your entity.

HOW IT GOES

Six steps, in order.

  1. No. 01

    Intake

You tell us the members, the ownership split, the address, and what the business actually does.

  2. No. 02

    Name check and filing

We check name availability and file your Articles of Organization through the state portal.

  3. No. 03

    EIN

We submit the EIN application as Third Party Designee so you're not sitting on hold with the IRS.

  4. No. 04

    Operating Agreement

We draft the agreement around the choices you made on your intake form.

  5. No. 05

    Working session

We sit down together, walk the documents line by line, and sign.

  6. No. 06

    Compliance calendar

Your filing dates go on a calendar in your business binder so nothing sneaks up on you.

— GENERAL EXPLAINER

Sole prop, LLC, S-corp election.

i.

Sole proprietor

No formation filing and no separation between you and the business. Income is reported on your personal return, and self-employment tax applies to the net profit.

ii.

LLC

A state-registered entity that separates the business from you for liability purposes. By default a single-member LLC is taxed as a sole proprietorship and a multi-member LLC as a partnership.

iii.

S-corporation election

A tax election an LLC or corporation can make. It requires reasonable compensation paid through payroll, a separate business return, and more administration through the year.

QUESTIONS

What people ask us first.

Most Tennessee filings come back quickly once we submit through the state portal, and the EIN usually follows within a day or two. The working session is scheduled around you, so the timeline mostly depends on how fast the intake comes back to us.
